Special Pre-Production Terms

These terms apply to Quote Copenhagen's SS27 Pre-Production Programme and supplement the company's standard B2B terms and conditions. In the event of any conflict, these terms shall prevail.

1. Binding order

A Pre-Production order is a binding order for the agreed products, sizes and quantities. Following expiry of the ordering period determined by Quote Copenhagen, the Pre-Production orders received will be consolidated, after which production will be initiated on that basis.

The minimum order for a Pre-Production order is 10 pieces per style/size.

The order is not finally accepted until Quote Copenhagen has confirmed the order and the first instalment has been paid.

A confirmed Pre-Production order may not be amended or cancelled without Quote Copenhagen's written consent.

2. Payment

The order shall be paid in the instalments specified in the order confirmation, unless otherwise provided below.

Pre-Production orders for SS27 shall be paid in four instalments of 25% of the total price at the following times:

• upon confirmation of the Pre-Production order

• 1 December 2026

• 1 January 2027; and

• upon delivery, in accordance with the customer's normal payment terms agreed in writing.

If an instalment is not paid when due, Quote Copenhagen may withhold production and delivery, declare all remaining instalments immediately due and payable and, in the event of a material payment default, terminate the agreement. See also clause 7.

3. Production and delivery

Production shall be initiated on the basis of the Pre-Production orders received.

Any stated delivery dates are estimates only and do not constitute a guarantee.

4. Selection of one-of-a-kind items

The products are made from vintage and hand-processed textiles. Colours, patterns, composition and minor details will therefore vary.

A Pre-Production order entitles the customer to a specified product, size and quantity, but not to specific individual items, colours or patterns.

Quote Copenhagen shall determine the procedure for customers’ selection of the individual items.

The selection process for SS27 is as follows:

• Through a Pre-Production order, the Customer orders a product, size and quantity - not the specific individual one-of-a-kind items.

• Once production is complete and Quote Copenhagen has received images of the finished collection, all customers with confirmed Pre-Production orders will be granted access to a special closed selection period during which the Customer may select the individual one-of-a-kind items before the remaining collection is released to other B2B customers.

• During the relevant selection period, selection of the individual one-of-a-kind items shall take place on a first-come, first-served basis.

• The Customer may select up to the number of items covered by the confirmed Pre-Production order.

• Participation in the Pre-Production Programme therefore provides early access to the collection, but does not confer any right to specific colours, patterns or individual products.

• The Customer must make its selection within the deadline communicated by Quote Copenhagen when the Pre-Production selection period opens.

• If the Customer does not make its selection within the deadline, Quote Copenhagen shall be entitled to select items on the Customer’s behalf from among the remaining items within the ordered product category and size.

• This does not affect the Customer's payment obligation.

5. Limited delivery obligation

If, due to production-related circumstances, quality requirements, lack of material availability or similar circumstances, Quote Copenhagen is unable to deliver the full quantity ordered, Quote Copenhagen may reduce the delivery proportionately.

The Customer shall pay only for the items delivered. Any amounts already paid for items that cannot be delivered shall therefore be refunded by Quote Copenhagen.

6. Delay

If Quote Copenhagen fails to deliver the Pre-Production order no later than 90 days after the estimated delivery date for reasons for which the Customer is not responsible, the Customer may cancel the order or orders affected by the delay by giving written notice to Quote Copenhagen. The Customer shall have no other rights arising from delayed delivery.

7. Customer default

If the Customer cancels or otherwise breaches a confirmed Pre-Production order, the Customer shall be liable for the loss suffered by Quote Copenhagen as a result, including production costs, purchases of materials, lost contribution margin and other commitments made in reliance on the order.

Quote Copenhagen shall be entitled to set off such claims against instalments already paid. Instalments already paid shall be refunded only to the extent that they exceed Quote Copenhagen's claims against the Customer.

8. Force majeure

Notwithstanding any terms to the contrary in the contractual basis, Quote Copenhagen shall not be liable to the Customer for failure to perform obligations attributable to force majeure. This exemption from liability shall apply for as long as the force majeure event continues. Force majeure means circumstances beyond Quote Copenhagen's control which Quote Copenhagen could not reasonably have been expected to foresee at the time the agreement was entered into. Examples of force majeure include war, serious international unrest, import or export restrictions, government intervention, natural disasters, pandemics, epidemics, strikes, lockouts, fire, extensive transport disruption, port closures, supplier failure, shortages of raw materials, energy shortages, cyberattacks or other similar extraordinary circumstances.

9. Limitation of liability

Quote Copenhagen shall not be liable for indirect loss, including operating loss, loss of profit or loss of revenue.

Quote Copenhagen's total liability shall in all circumstances be limited to the value of the relevant Pre-Production order.
